Terms of Service

These Terms govern your use of Indian Steel Portal (the "Service"). During registration you must expressly accept these Terms, our Privacy Policy, and the scope-of-service declaration in section 2A. An account cannot be created without that acceptance, and the acceptance is recorded against your account with a timestamp.

1. Eligibility

The Service is for GST-registered businesses in India. You confirm you are authorised to act for your company and that the GSTIN, PAN, bank and documents you submit are accurate.

2. The marketplace

Indian Steel Portal is a neutral venue that connects buyers and sellers and runs inquiries and auctions (reverse and forward). We are not a party to any trade, do not take title to goods, and do not guarantee any counterparty, price, quality or delivery. Deals are contracts between the buyer and seller.

2A. Scope of service and limitation of liability

Our role is limited to connecting a buyer with a seller. Indian Steel Portal introduces counterparties and hosts the record of the inquiry, the bidding, the ranking and the award. Once that introduction is made, the transaction is entirely between the two parties. This section prevails over anything to the contrary elsewhere in these Terms.

What we do:

We are responsible for
Verifying each member's GSTIN, PAN, bank account and KYC documents before trading is unlocked.
Providing a neutral venue to float inquiries, run reverse and forward auctions, and list ready stock.
Keeping a tamper-evident audit trail of every bid, rank, counter-term and award decision.
Generating the comparison statement and the system deal note recording what both sides agreed.
Notifying both parties at each milestone and keeping their data private and secure.

What we do not do:

We are not responsible for
We are not a party to your contract. The sale is strictly between buyer and seller.
We do not take title to, possess, inspect, weigh, transport or insure any material.
We do not guarantee quality, quantity, grade, make, tolerance, delivery, payment, solvency or the performance or conduct of either party.
We do not act as broker, agent, commission agent, escrow, guarantor or arbitrator for the trade.
We do not raise your purchase order, contract, tax invoice, e-invoice IRN, e-way bill, letter of credit or insurance cover note.

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with any transaction is limited to the platform fees, if any, actually received by us for that transaction, and we are not liable for loss of profit, loss of bargain, or any indirect or consequential loss.

2B. Documentation completed by the parties themselves

After the introduction, the buyer and the seller complete all documentation and performance directly with each other. This includes, without limitation:

Handled by buyer and seller, between themselves
Purchase order or sale contract signed between the parties.
Tax invoice with e-invoice IRN where applicable, and the e-way bill before dispatch.
Mill Test Certificate with heat number, inspection, and weighbridge (dharam kanta) slips.
Transport LR / consignment note, insurance, and proof of delivery.
Payment, TDS under section 194Q or TCS as applicable, and each party's own GST returns.
Any dispute, shortage, rejection, damage, delay or recovery — settled directly between buyer and seller.

2C. Deal completion notice

On completion of a deal concluded through the Service, we send a confirmation email to both parties from noreply@indiansteelportal.com. That email sets out the deal details — parties, material, grade, quantity, rate, GST, total, payment terms, price basis and delivery — together with a restatement of what we are and are not responsible for, and the documentation the parties must complete themselves. It is an automated notice sent for record purposes; it is not a contract, an invoice, or a confirmation by us that either party has performed. Replies to that address are not monitored; write to support@indiansteelportal.com instead.

3. Auctions

Bids are binding offers. Reverse-auction L1 (lowest) and forward-auction H1 (highest) are determined by the rules shown at floatation (open/sealed, decrement/increment, soft-close). The inquiry creator awards at their discretion, recording a reason where they award above L1.

4. Conduct

You will not post false information, manipulate bids, infringe others' rights, upload unlawful content, or use the Service for anything other than genuine steel trade. We may suspend accounts that breach these Terms.

5. User content & reporting

You are responsible for the listings, inquiries and messages you post. Report abusive content or counterparties to support@indiansteelportal.com; we review and act on reports, including removal and account action.

6. Fees

The Service may charge listing or success fees, disclosed before they apply. Taxes (GST) are additional as applicable.

7. Compliance

You are responsible for your own tax invoicing, e-way bills, TDS/TCS and statutory compliance on trades you conclude.

8. Disclaimer & liability

The Service is provided "as is". To the maximum extent permitted by law we are not liable for indirect or consequential losses, or for disputes between buyers and sellers. Section 2A applies in full.

9. Termination

You may stop using and delete your account any time. We may suspend or terminate accounts for breach or legal reasons.

10. Governing law

These Terms are governed by the laws of India; courts at your registered place of business or ours have jurisdiction.
